How to Become an Incorporated Nurse in Quebec (2026 Guide)
Since November 2024, nurses in Quebec can practise their profession through a corporation. It is a standard incorporation: you incorporate with the Quebec Registrar of Enterprises (from $497 all-in with Incorp-Québec), you declare your practice to the OIIQ, and you carry professional liability insurance that covers your corporation. Does a nurse have the right to incorporate? The exact conditions
Yes. Since Bill 67 (LQ 2024, c. 31), assented to on November 7, 2024, the Professional Code (Code des professions) allows members of a professional order — including nurses registered with the OIIQ — to carry on their professional activities within an organization, whatever its legal form, even where their order has not adopted its own regulation on practising through a corporation.
Before that reform, the OIIQ had no regulation on practising through a corporation, which left incorporated nurses in a grey zone. That is no longer the case: a nurse's incorporation is today a standard corporation, paired with obligations to the order.

Incorporation never transfers your professional liability to the corporation: in the event of a professional fault, you remain personally accountable to your patient and your order. The corporation generally protects your personal assets against commercial debts (lease, suppliers, contract disputes), not against your clinical acts — which is exactly why the insurance requirement exists.
Why do agencies ask nurses to incorporate?
Placement agencies and private employers generally require incorporation because they want to pay a service provider rather than hire an employee: no source deductions, no benefits, no employment relationship. The nurse invoices their hours through their corporation, often at an hourly rate above what the public network pays.
This model exploded with the staffing shortage, but the 2026 context deserves an honest explanation:
- In the public network, Bill 10 (2023) and its regulation are phasing out the use of agencies and independent labour: most regions are already covered by the ban, and the remote territories (Abitibi-Témiscamingue, Côte-Nord, Nord-du-Québec, Gaspésie–Îles-de-la-Madeleine, Outaouais, Bas-Saint-Laurent, Nunavik) must follow no later than October 18, 2026, subject to exemptions granted by the ministry.
- In the private sector, that regulation generally does not apply: private seniors' residences (résidences privées pour aînés, RPA), private non-subsidized long-term care facilities (CHSLD privés non conventionnés), private clinics, home care, workplace health and safety, blood draws, workplace vaccination. That is where the incorporated-nurse model keeps growing.
In other words: if your entire plan rests on agency shifts in the public network, look into your region's situation before incorporating. If you are targeting the private sector or a diversified clientele, a corporation remains the invoicing vehicle you will generally be asked for.
How to become an incorporated nurse, step by step
The full path has five steps: incorporate with the Quebec Registrar of Enterprises, declare your practice to the OIIQ with the required insurance coverage, open a business bank account, assess GST/QST registration based on the nature of your services, then sign the service contract with the agency or your clients.
Step 1 — Incorporate your company
This is a standard Quebec incorporation: articles of incorporation, share capital, director (you), initial declaration with the Registrar. Step 2 — Declare your practice to the OIIQ and cover the corporation
Once the corporation exists, update your practice declaration with the OIIQ (prescribed form, changes to be reported generally within 30 days) and make sure your professional liability insurance also covers the corporation for faults committed in the practice of the profession. Step 3 — Open the corporation's bank account
With your certificate of incorporation, your articles and your NEQ, open a business bank account in the corporation's name. Every invoice to the agency and every business expense flows through that account — never through your personal account. That is the foundation of clean bookkeeping and a real separation between you and the corporation.
Step 4 — GST/QST: assess it based on the nature of your services
Nursing services rendered to an individual within a nurse-patient relationship are generally exempt from GST/QST. The contract is between the agency (or the clinic, the RPA) and your corporation, not you personally. Review the exclusivity, non-compete and termination clauses, then invoice in the corporation's name with your tax numbers if applicable. What taxes once you're incorporated?
The main tax advantage of incorporating is tax deferral: eligible income left inside the corporation is generally taxed at a rate well below your personal rate, leaving more cash to invest or to smooth out over time. The advantage is real mostly when you earn more than you spend personally.
Concretely, for an incorporated nurse whose business income qualifies for the small business deduction, the corporation generally pays a combined tax rate well below the highest personal rates. You then pay yourself a salary, dividends, or a mix of both — a trade-off to revisit every year with your accountant based on your situation (RRSP, QPP, time off, real estate plans).

What is the PSB risk? Read this before signing with a single agency
If your corporation has only one client — an agency that sets your schedule, your work locations and your conditions — the Canada Revenue Agency and Revenu Québec can classify it as a personal services business (PSB, entreprise de prestation de services personnels). The tax consequences are severe, and this is the point too many incorporation services leave out.
A PSB is essentially an "incorporated employee": without the corporation, you would reasonably be considered your client's employee. When that classification applies, the corporation:
- loses the small business deduction and the general rate reduction: federally, PSB income is taxed at 33% (including an additional 5% tax), for a combined rate generally around 44.5% in Quebec;
- loses most deductions: essentially, only the salary and benefits paid to the employee-shareholder remain deductible — mileage, cell phone, home office and training are generally denied at the corporate level;
- can face retroactive assessments with interest and penalties following an audit.
The factors that raise the risk: a single agency, imposed schedules, no equipment or expenses of your own, no possibility of profit or loss, full integration into the client's organization. The factors that lower it: several agencies or clients, the freedom to turn down shifts, your own insurance and equipment, billing by assignment rather than an employee-style schedule. A common mitigation practice is to pay out nearly all the income as salary — but every situation is different: talk to an accountant before signing an exclusivity contract.
